(CNSX: CGII.CN) (OTC:CLGOF) (FRA:AP02) (the “Issuer”) This press release is being disseminated as required by National Instrument 62-103 The Early Warning System and Related Take Over Bids and Insider Reporting Issues in connection with the filing of an early warning report (the “Early Warning Report”) regarding the acquisition of common shares of the Company (“Shares”) by Anthony Sarvucci (the “Acquiror”).
The Acquiror, an Officer and Director of the Company acquired 785,714 Common Shares (the “securities”) of CleanGo Innovations Inc. at an average price of $0.3182 per share through Treasury Issuances for two Shares for Debt transactions. Mr. Anthony Sarvucci now holds beneficial ownership, direction or control over, an aggregate of 1,465,186 common shares, representing in aggregate approximately 40.90% of the outstanding common shares of the Issuer on a non-dilute basis.
The Acquiror may, depending on market and other conditions, increase or change his beneficial ownership over Shares or other securities of the Company through market transactions, private agreements, treasury issuances, exercise of convertible securities or otherwise.
